Description:

A company that holds an eligibility certificate concerning an eligible marketing business may benefit from a holiday, with respect to Quebec tax, on income from this business, for a period of up to ten years following the date of its incorporation.

Eligibility:

Eligible companies are companies dedicated to the commercialization of intellectual property derived from research carried out in the Quebec public sector and incorporated in Canada between March 19, 2009 and April 1 , 2014.

In addition, the eligible company must meet the following conditions:

She started operating a marketing business within twelve months of incorporation.
She has income that is derived, in whole or in part, from one or more eligible active marketing businesses.
It has amounts resulting from disposals of fixed assets which come, in whole or almost in whole, from disposals of fixed assets occurring in the normal course of activities of eligible marketing businesses.
It has not operated all or part of a business previously operated by another entity, unless that business was operated by that other entity for a period not exceeding 90 days.
It is not the result of a merger or unification of several companies.
She did not sell all or substantially all of the property she used in carrying on an eligible marketing business.
She took all deductions, including discretionary deductions, to which she was entitled in computing her income and taxable income, at least to the extent required to bring her taxable income to zero, if applicable.
She was not a beneficiary of any trust, other than a mutual fund trust.
It was not a party to a joint venture or a member of a partnership, unless each member of the joint venture, or each member of the partnership, was, as the case may be, a qualifying institute.

Form 2, to be completed by the institute;
A copy of the company’s certificate of incorporation;
Financial statements;
The activity report;
A copy of the document issued by the Canadian Intellectual Property Office, namely:
the classification certificate (for filing a patent application),
the patent (for a granted patent),
the registration certificate (for a copyright);
A copy of the technology transfer agreement, either, as the case may be:
the operating license,
the assignment of intellectual property rights.
Submit the form and attached documents in a single shipment.
